Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you and AxonAI LLC (“we”, “us”) governing your use of BuyerArc (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

BuyerArc helps you discover business prospects, send first-touch outreach from your own connected mailbox, classify replies, and surface hot leads. Features depend on your plan.

Each subscription includes one account — there are no additional seats or team members. You’re responsible for keeping your credentials secure and for all activity under your account. You must provide accurate information and be authorized to bind your organization.

• Paid plans are billed monthly in advance and renew automatically until cancelled. Payments are processed by Stripe on behalf of AxonAI LLC.
• You can cancel anytime from your billing portal; cancellation stops future renewals and takes effect at the end of the current billing period.
• Except where required by law, payments are non-refundable and we don’t prorate partial periods.
• If a payment fails, we may notify you and, after reasonable notice, pause your plan until the balance is settled. Paying the outstanding invoice restores access.

Plan limits are expressed as leads reached per day — that is, the number of new prospects we find and email for you. This is a measure of outreach delivered, not a guarantee of replies, meetings, or qualified leads, which depend on your offer, list, and market.

You are the sender of all outreach sent through your mailbox and are solely responsible for its content and for compliance with applicable laws (including CAN-SPAM, GDPR/UK GDPR, CASL, and anti-spam and privacy rules). You agree to:

• have a lawful basis to contact the prospects you target;
• honor opt-outs and not remove suppression or unsubscribe mechanisms;
• not send unlawful, deceptive, harassing, or infringing content, malware, or bulk spam;
• not resell or misuse prospect data in violation of third-party terms or law.

We may verify recipients, throttle sending, and automatically pause outreach to protect deliverability and your domain reputation.

You retain ownership of your account data, campaign content, and the leads generated for you. You grant us the rights needed to operate the Service (e.g. to send your messages and process data through our sub-processors). You’re responsible for the accuracy and legality of content you provide.

The Service, including its software, branding, and design, is owned by AxonAI LLC and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms; you may not copy, reverse-engineer, or resell it except as permitted.

We may suspend or terminate access for breach of these Terms, non-payment, or activity that threatens the Service, other users, or deliverability. You may stop using the Service at any time. On termination, your right to use the Service ends; some data may be retained as described in our Privacy Policy.

The Service is provided “as is” and “as available.” We do not warrant any specific number of replies, meetings, revenue, or results, nor uninterrupted or error-free operation, third-party data accuracy, or email-provider deliverability.

To the fullest extent permitted by law, AxonAI LLC will not be liable for indirect, incidental, special, or consequential damages, or lost profits or data. Our total liability for any claim is limited to the amounts you paid us for the Service in the three months before the claim.

You agree to indemnify and hold AxonAI LLC harmless from claims arising out of your content, your outreach, your use of the Service, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the jurisdiction in which AxonAI LLC is organized, without regard to conflict-of-laws rules. Disputes will be resolved in the courts of that jurisdiction unless otherwise required by law.
